Terms of Service

Welcome to DocRelay. These Terms of Service ("Terms") govern your access to and use of the DocRelay website and document approval workflow management software (the "Service"), provided by Export IO, LLC ("Company," "we," "us," or "our").

By creating an account or using the Service, you agree to be bound by these Terms.

1. Account Registration

To use DocRelay, you must create an account. You agree to:

  • Provide accurate and complete information (Company name, contact details, etc.).
  • Maintain the security of your password and credentials.
  • Promptly notify us of any unauthorized use of your account.

2. User Content & Documents

"User Content" refers to any documents, data, or information you upload or link to the Service.

  • Ownership: You retain all ownership rights to your User Content.
  • Responsibility: You are solely responsible for the accuracy, quality, and legality of the documents processed through the Service.
  • Storage: Native uploads are stored via AWS S3. Linked documents (via Google Drive, OneDrive, or Dropbox) remain on their respective platforms and are accessed via secure OAuth tokens.
  • Privacy: We do not access or monitor your documents. Please refer to our Privacy Policy for more details on how we handle data.

3. Subscriptions and Payments

  • Billing: All subscriptions and payments are managed through Polar.sh. By subscribing, you agree to their terms and payment processing schedules.
  • Fees: You agree to pay all fees associated with your selected plan. Fees are non-refundable unless otherwise stated or required by law.
  • Cancellation: You may cancel your subscription at any time through your account settings or the Polar.sh billing portal.

4. Acceptable Use

You agree not to use DocRelay to:

  • Upload or distribute any content that is illegal, harmful, or violates the intellectual property rights of others.
  • Attempt to circumvent any security features or gain unauthorized access to our infrastructure (AWS, Supabase, etc.).
  • Use the Service for any purpose other than document review and approval workflows.

5. Third-Party Integrations

The Service integrates with third-party providers (e.g., Google, Microsoft, Dropbox). Your use of those services is governed by their respective terms. We are not responsible for the availability or security of these third-party platforms.

6. Limitation of Liability

To the maximum extent permitted by law, Export IO, LLC shall not be liable for any indirect, incidental, or consequential damages resulting from your use of the Service, including loss of data or business interruption. The Service is provided "AS IS" and "AS AVAILABLE."

7. Indemnification

You agree to indemnify and hold harmless Export IO, LLC and its officers from any claims, damages, or legal fees arising from your use of the Service or your violation of these Terms.

8. Governing Law

These Terms are governed by the laws of the State of Alabama, without regard to conflict of law principles. Any legal action related to these Terms shall be brought in the courts located in Madison County, Alabama.
